Last updated: [DATE PLACEHOLDER] · Version: 0.1 DRAFT
DRAFT — NOT LEGALLY VETTED. This is a placeholder document for review and revision. Before launch this must be reviewed by a qualified UK solicitor specialising in fintech, software services, and consumer/B2B contracts as appropriate. Do not rely on this content for commercial protection.
1. Acceptance of these terms
By accessing or using the PulseBot service (the "Service"), including the dashboard, reporting infrastructure, and any associated software (the "Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
2. The Service
PulseBot Ltd provides:
- Algorithmic trading Expert Advisors ("EAs") for the MetaTrader 5 platform
- A web-based dashboard and analytics service for monitoring deployed EAs
- Reporting infrastructure that collects trade activity from your MetaTrader 5 terminal
- Optional managed copier services and prop firm partnership programmes
The Service is provided on an "as is" basis. Features may change, be suspended, or be discontinued at our discretion with reasonable notice.
3. Eligibility
To use the Service you must:
- Be at least 18 years of age
- Have full legal capacity to enter into binding agreements
- Comply with all laws applicable to you in your jurisdiction, including any restrictions on derivatives trading
- Maintain the security of your account credentials and notify us immediately of any unauthorised access
4. No financial advice
Important: PulseBot is a technology provider. We are not authorised by the UK Financial Conduct Authority (FCA) or any other regulator as a financial advisor, investment manager, or broker. Nothing provided through the Service constitutes financial, investment, tax, or legal advice.
You are solely responsible for:
- The decision to deploy any EA or strategy
- The settings, risk parameters, and position sizes you choose
- Compliance with the rules of any broker or prop firm you operate through
- The tax implications of your trading activity in your jurisdiction
If you require financial advice, consult a regulated independent financial advisor.
5. Risk warning
Trading derivatives carries a high level of risk and may not be suitable for all investors. The leverage available in derivatives markets means losses can exceed deposits and you may lose more than your initial investment. Past performance — including backtested or live track records — is not indicative of future results.
6. Acceptable use
You agree not to:
- Reverse engineer, decompile, or extract source code from any PulseBot Software
- Redistribute, sublicense, or resell access to the Service without express written permission
- Use the Service to attempt unauthorised access to other accounts or systems
- Submit false, misleading, or fraudulent data through the reporting infrastructure
- Use the Service in a manner that violates applicable laws or third-party rights
7. Intellectual property
All intellectual property rights in the Service, Software, brand, documentation, and analytics — including the PulseBot name, logo, and EA source code — are and remain the property of PulseBot Ltd. Your use of the Service grants you no ownership rights or licence to redistribute.
8. Subscription and fees
[PLACEHOLDER: pricing model, billing cadence, refund policy, payment processor terms. To be drafted alongside commercial structure.]
9. Account suspension and termination
We reserve the right to suspend or terminate access to the Service:
- For breach of these Terms
- For non-payment of fees (where applicable)
- To comply with a legal or regulatory requirement
- If we reasonably believe continued provision would cause harm to us, you, or other users
You may terminate your use of the Service at any time. Upon termination, certain data may be retained as described in our Privacy Policy.
10. Limitation of liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind, whether express or implied
- We do not warrant that the Service will be uninterrupted, error-free, or that trading results will meet expectations
- We are not liable for trading losses, missed signals, broker outages, or losses caused by force majeure events
- Our aggregate liability for any claim under these Terms is limited to the fees you paid us in the twelve months preceding the claim, or £100, whichever is greater
- Nothing in these Terms excludes liability for fraud, death, personal injury, or any liability that cannot be excluded under applicable law
11. Indemnification
You agree to indemnify and hold harmless PulseBot Ltd, its directors, employees, and contractors from any claims, losses, or damages arising from your breach of these Terms or your misuse of the Service.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email and posted to this page. Continued use after notice constitutes acceptance. If you do not accept revised Terms, you must stop using the Service.
13. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
